Chapter 16 - The Option That Was Never Supposed to Be Used.

The side letter was older than Thomas Mitchell's final trust amendment by eleven months.
Evelyn sent a scanned copy to David after Nathan threatened to obtain it through formal discovery.
The document granted Richard Grant a conditional option to purchase a controlling block of Mitchell Aerospace shares if three events occurred together.
The Grant guarantee had to be outstanding.
The company had to experience a defined liquidity default.
And the Mitchell voting group had to fail to maintain a minimum ownership threshold.
Claire Donovan read the conditions twice.
"This was designed as a rescue mechanism."
Nathan looked at her.
"Meaning?"
"If the Mitchell family lost control and the company ran out of cash, Grant could step in."
"At what price?"
Claire pointed to a formula.
Her face hardened.
"A discount."
Lauren watched the financial language transform into something she could understand.
Richard did not merely want Nathan's proxy.
He had a second path.
Create a liquidity crisis.
Use the crisis to trigger the option.
Acquire control cheaply.
Nathan looked at David.
"Can he do it?"
"Not if we avoid the default."
Claire nodded.
"Replacing the credit facility prevents the most obvious trigger."
"And the ownership threshold?"
David tapped Thomas's trust amendment, which First Atlantic had finally released that morning.
"The succession trust strengthens Nathan's household block after the baby is born."
Lauren understood.
"Which is why Richard needs the trust frozen."
"Exactly."
The entire strategy came into focus.
If Ashley's paternity claim delayed the succession transfer and Richard canceled the credit guarantee, he could try to create the conditions required by the old side letter.
The foyer confrontation had not been the plan itself.
It had been one attempt to break Lauren and Nathan before the financial machinery began moving.
Ashley wanted Nathan emotionally cornered.
Richard wanted him financially cornered.
Evelyn, terrified of losing the company, had helped close the walls around her own son.
Nathan stared at the documents.
"How long has my mother known Richard could do this?"
Claire answered.
"Based on her emails in Caleb's archive, years."
Nathan looked toward Owen.
Owen opened the indexed drive.
"There's a folder called OPTION."
Inside were dozens of messages between Richard and Evelyn.
Most were businesslike.
Then the tone changed after Nathan married Lauren.
Richard wrote:
THE SUCCESSION CLAUSE IS NOW A LIVE RISK.
Evelyn replied:
NATHAN WILL NOT TURN AGAINST THE COMPANY.
Richard answered:
THEN MAKE SURE HIS WIFE UNDERSTANDS THE COST OF INFLUENCE.
Lauren stared at the screen.
Nathan's face went cold.
Another message appeared from eighteen months earlier.
Evelyn wrote:
LAUREN IS NOT INTERESTED IN CORPORATE CONTROL.
Richard replied:
SHE DOES NOT HAVE TO BE INTERESTED.
THE TRUST MAKES HER RELEVANT.
Lauren leaned back.
For two years, people she barely knew had discussed her as if she were a voting instrument.
Nathan touched her arm.
"I'm sorry."
This time, Lauren did not tell him not to apologize.
"We fix it."
Claire closed the option letter.
"First, we replace the credit line."
Nathan nodded.
"Second?"
David answered.
"We defeat Ashley's emergency petition."
"Third?"
Owen looked at Caleb's evidence.
"We establish who altered security footage, fabricated documents, and accessed Nathan's medical sample."
Lauren looked at all of them.
"And fourth?"
Nathan understood before she finished.
"We tell the board everything."
Claire nodded.
The quarterly board meeting was scheduled for the next morning at nine.
Richard controlled four seats.
Evelyn controlled three.
Nathan held one.
Two independent directors occupied the remaining seats.
If Evelyn continued siding with Richard, Nathan would lose almost every ordinary vote.
But Thomas's final trust amendment changed the stakes.
David had requested emergency review by First Atlantic's independent trustee.
The amendment authorized temporary suspension of voting privileges for any director who interfered with succession through fraud, concealment, or intimidation.
The trustee had agreed to hear evidence at seven thirty the next morning, ninety minutes before the board meeting.
Lauren looked at David.
"Can they suspend Evelyn?"
"If the evidence meets the clause."
"And Richard?"
"His family shares are separate, but his influence over the succession process can still be considered."
Nathan looked at Maria's recordings.
"My mother ordered the footage deleted."
"Yes."
"She signed the affidavit."
"Yes."
"She hid my father's letter."
David nodded.
"Yes."
Nathan looked sick.
Winning now required proving his own mother's misconduct.
Lauren took his hand beneath the table.
"She made those choices."
"I know."
"You didn't."
He looked at her.
"But I ignored signs for years."
"Then don't ignore them tomorrow."
Nathan nodded.
At six that evening, Claire received confirmation that one replacement lender was prepared to close the new credit facility if the board approved it.
The pricing would hurt.
The company would survive.
Richard's most powerful threat began to weaken.
At seven, Cameron's paternity test was independently authenticated.
At eight, the laboratory signed an affidavit confirming Nathan's exclusion.
At nine, Maria agreed to testify by video to the independent trustee.
At ten, Caleb signed a sworn declaration admitting he copied Nathan's medical sample at Richard's direction and identifying Ashley as the person who deleted the foyer archive from Evelyn's tablet.
For the first time, the evidence formed a complete chain.
Lauren almost allowed herself to believe the worst was over.
Then Owen's security monitor flashed red.
Someone had breached the outer gate of the safe house.
Nathan stood immediately.
Lauren's heart jumped.
Owen checked the exterior feed.
A dark sedan had stopped halfway up the drive.
One person stepped out.
Not Richard.
Not Ashley.
Evelyn.
She stood alone beneath the security light holding a leather folder against her chest.
Nathan stared at the screen.
"What is she doing here?"
Lauren looked closer.
Evelyn's face was streaked with tears.
Owen's phone rang from the gate intercom.
He answered.
Evelyn's voice came through the speaker.
"Tell Nathan I withdrew the affidavit."
Nathan did not move.
Evelyn continued.
"And tell him Richard knows about the trustee hearing."
Owen looked at Nathan.
"What else?"
Evelyn clutched the folder tighter.
"He has one more recording."
Nathan walked toward the intercom.
"Of what?"
Evelyn heard his voice.
She closed her eyes.
"Of you losing your temper in the library."
Nathan frowned.
"So?"
Evelyn looked directly into the gate camera.
"It has been edited to make it sound like you threatened Ashley's life."
