Chapter 12 - The Buyer on Both Sides of the Table

No one spoke for several seconds.
Even Charles seemed to understand that denying too quickly would make the accusation stronger.
Evelyn looked at Melissa.
"How much money?"
Melissa swallowed.
"I don't know the full amount."
"How much do you know about?"
"Sixty-two million."
Sophie sat down on the steel archive table.
"Sixty-two million dollars?"
Melissa nodded.
"Over eighteen months."
Daniel stared at Charles.
"Through what accounts?"
"Management fees, acquisition deposits, and brand licensing advances."
Evelyn felt sick.
Those categories appeared normal on consolidated statements.
Small enough pieces could disappear among hundreds of hotel transactions.
"Where did Voss Meridian get the rest of the purchase money?" Daniel asked.
Melissa looked away.
"Debt."
"Secured by what?"
"The Hartwell shares it would receive at closing."
Daniel let out a slow breath.
"A leveraged buyout funded partly with money siphoned from the target."
Charles laughed coldly.
"Listen to all of you pretending you understand a financing structure from one frightened employee's summary."
Melissa's face tightened.
"I am not your employee anymore."
"You haven't resigned."
"I just did."
"Then you are breaching confidentiality."
"You used my phone to authenticate a forged signature."
"I did no such thing."
"You told me to read you the code."
Sophie looked up sharply.
"What?"
Melissa went pale as she realized she had said it.
Evelyn stepped closer.
"What code?"
Melissa's eyes filled with panic.
"At ten forty."
Charles spoke over her.
"She is confused."
"Stop saying women are confused when they remember what you did," Evelyn said.
The sentence cut through the room.
Charles stared at her.
Melissa continued.
"A six-digit code came to my phone."
"And?" Daniel asked.
"Charles said Pike needed it to release the closing package."
"Did you give it to him?"
"Yes."
"Did you see what he entered it into?"
Melissa closed her eyes.
"The tablet."
Sophie covered her mouth.
Daniel's face hardened.
"Then you witnessed him authenticate the execution."
"I didn't know it was Sophie's signature."
"Did you see the screen?"
"Not clearly."
Charles stepped toward her.
"You are lying."
Melissa backed away.
"No."
"You are trying to save yourself."
"Yes."
The honesty surprised everyone.
Melissa looked at Evelyn.
"I am trying to save myself."
Her voice shook.
"Because he told me I would own twelve percent after the closing."
Evelyn blinked.
The proxy agreement mentioned voting control.
Not twelve-percent ownership.
"Where would the shares come from?"
Melissa opened her clutch.
She removed a folded side letter.
"From Charles."
Charles lunged for it.
Daniel intercepted him.
Peter called hotel security.
Charles stopped before the situation became physical.
Melissa handed the letter to Evelyn.
It promised Melissa a twelve-percent equity interest in Voss Meridian after the acquisition closed.
It also promised a penthouse apartment and a five-million-dollar retention payment.
The signature at the bottom belonged to Charles.
Evelyn read it slowly.
Then she looked at the woman who had sat in her chair.
"So that was the price."
Melissa's chin lifted defensively.
"I didn't know where the purchase money came from."
"But you knew you were being paid to help him take control."
"I knew he wanted control."
"Of my family's company."
"He told me it was already effectively his."
Evelyn almost laughed.
Of course he had.
Charles had probably said the same thing about his marriage.
Already over.
Already his.
Already decided.
Melissa looked at Sophie.
"I am sorry about tonight."
Sophie stared at her.
"You smiled at my mother while sitting in her seat."
Melissa's face flushed.
"I know."
"You told her not to make my wedding about old arguments."
"I know."
"Don't apologize because the deal went bad."
Melissa looked down.
Sophie stood.
"Help us because it's the right thing or help us because you're scared."
"I don't care which."
"But don't ask me to make you feel better."
Melissa nodded once.
Evelyn felt a flicker of pride so sharp it almost hurt.
Her daughter had been deceived, humiliated, and dragged into an ugly corporate fight on her wedding night.
Yet she was standing straighter than anyone else in the room.
Daniel checked his phone.
"My father is still at the office."
Sophie looked at him.
"We're going."
This time Evelyn did not stop her.
Peter arranged a hotel car.
Mara found Sophie a long ivory coat to cover the wedding gown.
Evelyn changed into flat shoes from the emergency bag she had packed months ago.
Melissa asked to come.
Sophie shook her head.
"No."
Melissa accepted it.
Before Evelyn left, Melissa caught her arm.
"There is something else."
Charles was across the room speaking angrily to a security supervisor.
Evelyn looked at Melissa.
"What?"
Melissa lowered her voice.
"Graham didn't just know about Voss Meridian."
"What did he do?"
"He provided the first ten million dollars."
Evelyn's stomach tightened.
"Why?"
Melissa looked toward Daniel.
"Because Charles promised him something after the sale."
"What?"
Melissa hesitated.
"The original Hartwell Grand building."
Evelyn looked around the basement.
The building her parents had created.
The building held by her separate family trust.
"Charles can't promise him this building."
Melissa's voice dropped even lower.
"He thinks he can."
"Why?"
Melissa took out her phone.
She showed Evelyn a photograph of another document.
PROPERTY TRANSFER AUTHORIZATION.
The signature at the bottom looked like Evelyn's.
It was dated three weeks earlier.
