Chapter 16 - The Founder's Clause

Richard remained silent for nearly a minute.

Elena waited.

Finally, he spoke.

“The Founder's Clause was created by your grandfather.”

“Why?”

“To prevent any one branch of the family from permanently controlling the trust.”

Miriam looked alarmed.

“I've never seen it.”

“Because it exists in a sealed supplemental instrument.”

Elena stared at her father.

“What does it do?”

Richard rubbed his forehead.

“In extraordinary circumstances, a qualified family successor can challenge the trustee.”

“I am the successor.”

“Yes.”

“Then why is Julian involved?”

Richard looked ashamed.

“Marriage created a loophole.”

Elena felt cold.

“What loophole?”

“If a direct beneficiary becomes incapacitated, compromised, or subject to demonstrated coercion, a spouse can petition for temporary protective authority.”

Elena almost laughed.

“Those hospital documents.”

Richard nodded.

“They were trying to create standing.”

Miriam immediately opened her laptop.

“If Julian filed before removal…”

“He didn't,” Richard said.

“How do you know?”

“Because I would have received notice.”

Elena looked at him.

“Unless he filed somewhere else.”

Miriam stopped typing.

“Thomas.”

Richard's expression changed.

Thomas had influence in jurisdictions where Vale entities operated.

If he had helped Julian prepare a petition through a foreign court, there might already be an emergency order.

Miriam began making calls.

Seven minutes later, she found it.

Luxembourg.

A sealed petition had been filed three days earlier.

Julian claimed Elena was emotionally unstable.

He claimed Richard had manipulated her.

He claimed the Vale trust was using marital conflict to unlawfully seize management control.

And he attached medical records.

Private investigator reports.

Witness statements.

Some were genuine.

Others were misleading.

One was completely false.

Vanessa had signed an affidavit claiming Elena had threatened physical violence.

Elena stared at the page.

“She lied under oath.”

“Yes.”

Miriam kept reading.

“There is a hearing tomorrow.”

Richard stood.

“Withdraw the assets from jurisdiction.”

“We can't.”

“Why?”

“An emergency preservation order has already been entered.”

Elena's heart pounded.

“What does that mean?”

“It means certain European holdings cannot change control until the hearing.”

Julian had lost his title.

But he had created a legal battlefield.

If he convinced a judge that Elena was unstable and Richard was abusing trustee authority, he might receive temporary standing.

Not ownership.

But enough leverage to force negotiations.

Elena understood the strategy.

“He doesn't need to win.”

Miriam nodded.

“He only needs to delay us.”

“While Thomas closes the investment.”

“Exactly.”

Richard looked furious with himself.

“I should have told you.”

“Yes.”

Elena's answer surprised him.

“You should have.”

He lowered his head.

“I was protecting you.”

Elena looked at him for a long moment.

“So was I.”

Richard met her eyes.

She continued.

“I protected Julian from the truth.”

“You protected me from the Founder's Clause.”

“And both secrets became weapons for other people.”

Richard absorbed the words.

Elena picked up the petition.

“No more secrets.”

Miriam looked at her.

“What are you proposing?”

“We go to Luxembourg.”

“The hearing is tomorrow morning.”

“Then we go tonight.”

Richard started to object.

Elena stopped him.

“No.”

Her voice was firm.

“For nine years, men have been making decisions about my life in rooms I wasn't allowed to enter.”

She took the Founder's Clause from her father's hand.

“That ends now.”

Across town, Julian was released pending further investigation.

His attorney handed him a passport.

“Your hearing remains active.”

Julian looked toward the airport.

For the first time since sunrise, he smiled.
