Chapter 3 - The Name Beneath the Name

At 1:00 a.m., Julian entered the executive conference room with Marcus and Peter Sloan beside him.

The long walnut table had been prepared for a video conference.

Twelve screens illuminated the far wall.

General managers from London, Paris, Dubai, Singapore, Milan, New York, and Los Angeles appeared one by one.

None looked happy.

Julian took the chair at the head of the table.

“Who called this meeting?”

Peter cleared his throat.

“The notice cites shareholder emergency authority.”

“I asked who.”

Before Peter could answer, another screen activated.

Miriam Shaw appeared.

Julian recognized her immediately.

She had attended his wedding.

She had once handled one of Elena's family estate matters.

She had always been polite to him.

Tonight, she looked like a prosecutor.

“Good morning, Mr. Mercer.”

Julian leaned back.

“Miriam.”

“You received the notice.”

“I received an unauthorized interruption to my company.”

Miriam did not react.

“Aurelia International Management Incorporated is not your company.”

The room went silent.

Julian smiled.

“That's absurd.”

Miriam raised a document.

“This is the controlling shareholder registry.”

Peter suddenly leaned toward his laptop.

Miriam continued.

“Aurelia International Management operates twenty-three luxury resorts.”

“I know what it operates.”

“It operates them under long-term management licenses.”

Julian's smile faded.

“The physical properties are owned by separate landholding entities.”

“So?”

“Those entities are wholly controlled by the Vale Legacy Trust.”

Marcus looked at Julian.

Peter stopped typing.

Julian stared at Miriam.

“You're saying Elena's father owns some of the land?”

Miriam's expression remained composed.

“No.”

“Then what are you saying?”

“The trust owns all of it.”

Silence swallowed the room.

Julian laughed.

It sounded forced.

“That's impossible.”

Miriam displayed another document.

The deed for Aurelia Grand appeared.

Then another.

The resort in Paris.

Another.

Maldives.

Another.

Aspen.

Another.

Santorini.

Every property carried the same ultimate beneficiary.

VALE LEGACY TRUST.

Julian stood.

“These resorts were built by me.”

“They were developed by management subsidiaries using capital provided through Vale-controlled investment vehicles.”

“I raised that capital.”

“You presented proposals.”

Julian's face reddened.

“I negotiated those deals.”

“You negotiated with representatives who were already authorized by the trust.”

Marcus slowly removed his glasses.

Julian turned on him.

“You knew?”

“No.”

“You expect me to believe that?”

“I swear.”

Miriam interrupted.

“There is more.”

Julian faced the screen again.

“Of course there is.”

“The trademark Aurelia Resorts is owned by Vale Heritage Intellectual Property LLC.”

Julian's mouth opened slightly.

“The reservation platform is licensed.”

Another document appeared.

“The customer database infrastructure is licensed.”

Another.

“The executive aircraft fleet is leased through Vale Aviation Holdings.”

Another.

“The corporate headquarters building belongs to Vale Commercial Properties.”

Another.

Even Peter looked pale now.

Julian gripped the back of his chair.

“What exactly do I own?”

Nobody answered.

Miriam folded her hands.

“Your personal shares in Aurelia International Management.”

Julian laughed bitterly.

“Thirty-eight percent.”

“Eleven point four.”

His head snapped up.

“No.”

“Your percentage was diluted during three capital restructurings you approved.”

“That dilution was temporary.”

“The documents say otherwise.”

Julian looked at Peter.

Peter's silence gave him the answer.

Miriam continued.

“Tonight, the controlling shareholder exercised emergency protection rights.”

“For what reason?”

Miriam looked directly into the camera.

“Conduct materially harmful to the ownership family and company reputation.”

Julian's eyes narrowed.

“Elena.”

“Yes.”

He stepped closer to the screen.

“She did this because I ended a marriage.”

“No.”

Miriam's voice sharpened.

“She did this because you humiliated a beneficial owner inside her own property, stole family jewelry, used company security for a personal domestic dispute, and attempted to transfer five million dollars without proper approval.”

Vanessa was standing outside the conference room when she heard the last sentence.

Her face went white.

Inside, Miriam delivered the final blow.

“Effective immediately, Julian Mercer is suspended as Chief Executive Officer pending formal board review.”

Then every executive access badge on the table began flashing red.
