Chapter 14 - The Hostile Takeover

By 9:00 AM the following morning, the international stock markets opened to unprecedented chaos.

News of Thorne International’s catastrophic network failure—and the blatant cyber-attack launched from their servers during the Sterling gala—sent shockwaves through Wall Street. The Securities and Exchange Commission (SEC) issued an immediate freeze on trading of Thorne stock, while federal agents descended on Thorne Tower with search warrants for corporate espionage.

Thorne International shares plunged by a staggering seventy-four percent in less than two hours.

Inside the glass executive boardroom of the Tokyo Sterling Reserve, Elena sat at the head of a long marble conference table. Surrounding her were senior partners from six major global investment funds.

"Thorne International’s market cap has collapsed from twelve billion dollars to under three billion in forty-eight hours," David Croft reported, sliding a valuation document across the table. "Margin calls are hitting Victor Thorne’s private accounts every ten minutes. He is facing total financial liquidation."

Arthur Sterling leaned back in his chair, a look of immense satisfaction on his face. "Victor leveraged sixty percent of his personal equity to fund his short positions against us. He needs fifty million dollars in liquid cash by noon to avoid personal bankruptcy."

Elena picked up a pen, signing a stack of acquisition authorizations.

"Offer his creditors thirty cents on the dollar for his debt," Elena commanded quietly. "And tell the Thorne International board of directors that Aethelgard Holdings is executing a hostile tender offer for fifty-one percent of their voting stock."

"They will jump at the offer to save themselves from total ruin," one of the investment bankers noted. "You’ll own Thorne’s empire by dinner."

"I don't want his empire," Elena corrected coldly. "I want his seat at the table."

At 4:00 PM in Seattle, a battered, exhausted Victor Thorne sat alone in the primary boardroom of Thorne Tower. The building was quiet; half his executive team had resigned by noon, and federal agents were upstairs pulling hard drives from the server rooms.

The heavy mahogany doors opened.

Elena Sterling walked in. She was accompanied by David Croft and two armed security guards. She wore a tailored crimson coat that radiated authority, her footsteps echoing sharply on the marble floor.

Thorne didn't look up immediately. His tie was undone, his white hair disheveled.

"You came to gloat, didn't you?" Thorne rasped, his voice sounding hollow and defeated. "To watch the old man die?"

Elena didn't answer right away. She walked to the head of the boardroom table—the seat Thorne had occupied for thirty years—and gracefully sat down.

"I didn't come to gloat, Victor," Elena said calmly. "I came to deliver your final notice."

David Croft placed a thick document in front of Thorne.

"As of thirty minutes ago," David announced, "Aethelgard Holdings acquired fifty-four percent of the voting equity in Thorne International. By unanimous vote of the newly restructured board of directors, you have been permanently removed as Chairman and CEO."

Thorne’s hands trembled as he stared at the document. "This was my company... I built this over forty years..."

"And you destroyed it in forty-eight hours because you partnered with a arrogant, greedy boy named Julian," Elena replied, leaning forward, resting her chin on her hands. "You thought Julian was an asset because he shared your hatred for my family. But you failed to see what he really was... a distraction."

Thorne raised his bloodshot eyes to meet hers. "What are you going to do with my company?"

"I am liquidating the Thorne name," Elena said flatly. "Your real estate assets will be integrated into the Sterling Reserve network. Your corporate headquarters will be converted into a non-profit architectural institute bearing my grandmother's name. And your remaining liquid assets will be placed into an escrow fund to pay for the legal damages caused by your cyber-attack."

Thorne let out a ragged, bitter laugh. "You're merciless, Elena. Exactly like your father."

"No, Victor," Elena corrected, standing up and pulling her gloves on. "My father would have left you enough money to retire quietly in the South of France. I am leaving you with nothing."

She turned her back on him and walked out of the boardroom, leaving Victor Thorne staring at the total annihilation of his life's work.
