Chapter 9 - The Poison Pill

Forty-eight hours later.
Elena sat in her corner office on the top floor of the Sterling Reserve Tower, reviewing financial integration reports for the newly acquired properties. Marcus Vance—who had officially been named Global Vice President of Resort Operations—sat across from her, running through the morning brief.
"Occupancy rates at the Seattle and Aspen properties have actually increased by twelve percent following your press conference, Ms. Sterling," Marcus reported. "The high-net-worth demographic responded very favorably to the transition to the Sterling brand."
"Good," Elena said without looking up from her tablet. "What about the staff transition?"
"Smooth. All payroll adjustments have been processed. Loyalty is at an all-time high."
Before Elena could respond, the heavy oak doors of her office swung open. David Croft walked in, carrying a red legal folder. His face was grave.
"Elena, we have a situation," David said, placing the folder on her desk. "Julian just made his move."
Elena closed her tablet, her eyes cool and focused. "What did he do?"
"He filed an emergency cross-complaint in federal district court this morning," David explained. "He’s claiming that the operational assets of Lumière Management were marital property created during the course of your nine-year marriage. He is asking for an immediate injunction to freeze all revenue from the resorts, claiming you committed tortious interference and fraud."
Elena raised an eyebrow. "On what funds is he paying for a federal lawsuit?"
"Victor Thorne," David answered flatly. "Thorne hired Vance & Calloway. They filed a two-hundred-page brief claiming you ran a fraudulent 'shadow corporation' to deceive Julian out of his rightful equity."
Marcus stood up, visibly angry. "That's ridiculous! Julian didn't contribute a single dollar of capital to the properties!"
"It doesn't matter to the media," David warned. "Thorne’s public relations firm is already spinning this as a story of a billionaire heiress crushing a self-made entrepreneur husband. The judge has scheduled an emergency preliminary hearing for tomorrow morning at 9:00 AM."
Elena remained completely calm. She stood up from her chair and walked toward the floor-to-ceiling window overlooking Puget Sound.
"Did Julian take the bait, David?" she asked quietly.
David allowed a grim, predatory smile to break across his face. "Hook, line, and sinker, Elena. He included an exhibit in his court filing—a brief technical excerpt from the smart-grid source code—to 'prove' that he was a primary developer of the resort’s technology."
Elena turned back around, her eyes gleaming with cold triumph.
"He actually submitted the smart-grid source code into the public court record?" she asked.

"Yes," David replied. "He thinks it proves he built the tech."
"Then he just walked directly into the poison pill," Elena said softly. "Call my father. Tell him to activate Phase Two. Tomorrow morning, we aren't just going to defeat Julian’s injunction... we are going to send him to prison."
